Work sales contract

Please make sure to check the following items before you purchase an original painting.

● Payment
Pay by one of the specified methods on the HERALBONY online store (heralbony.com).

● Delivery
Delivery shall be made approximately three months after the end of this exhibition, and shall be sent by the creator, the creator's facility, or other exhibition facility. The cost of delivery shall be borne by the First Party.

● Transfer of ownership
Ownership shall be transferred upon delivery of the goods.

● Copyright
The copyright of the work shall belong to the creator and shall not be modified in any way in this contract.

●Management of the work
The purchaser shall respond to any requests by the creator or related parties (including the creator's relatives and the creator's affiliated institutions) to exhibit the work.

●Burden of risk
Buyer may claim a reduction or exemption of the price from the First Party in the event that the goods are lost or damaged for reasons not attributable to the First Party or the creator and his/her facilities during the period from the time of the conclusion of this contract to the time when the ownership of the object is transferred.

●They may request the A to reduce or exempt the price.

●Consultation
If any question arises regarding this agreement, it shall be resolved through consultation between the First Party and the Second Party.

Jurisdiction
This agreement shall be governed by the laws of Japan, and any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the district court or summary court having jurisdiction over the head office of Heralboni Corporation in the first instance.

Reassignment of works

Explanation for reassignment

When the owner of the work retransfers the work to the next owner, please inform the next owner of the contents of this agreement in advance, and obtain his or her consent before retransferring the work.

Cert. transfer

The owner of the work should change the owner information by transferring the Cert. to the next owner's email on Startbahn Cert.。

redemption

Setting up a reduction

This work has a set redemption value when the work is sold.

Amount of reduction

The amount of the reduction is 8% of the sale price (including consumption tax) received by the owner of the work for the sale of the work.

Payment deadline

The owner of the work must pay within 10 days of receipt of the proceeds from the sale of the work.

The way of payment

When the work is sold, the owner of the work should pay the reduced amount to the bank account designated by the person who set the terms of the work.

The payer will be responsible for any bank transfer fees.

Payment currency

The currency for payment of the reduction shall be Japanese yen. If the proceeds received by the owner of the work from the sale of the work are in a currency other than Japanese yen, the payment shall be converted into Japanese yen based on the exchange rate of the bank used by the payer applicable on the date of payment of the reduction.

Payment period

The term for which the reduction must be paid is the same as the term of copyright protection for the work.

Handling of gratuitous transfers

In the case of gratuitous transfer of works, no payment of reduction is required.

Application relationship with right of recourse

Depending on the nationality of the artist, the place where the work was sold, the type of transaction, etc., the work may be subject to royalties based on the Artist Resale Right under the laws of each country. If the transfer of your work is subject to this royalty, you will not be required to pay any reduction.

Changes to this Agreement

Change procedure

The owner of the work and the person who sets the terms of the work can agree to change the content of these terms.

Author's approval

If the work agreement setter is not the author, the work agreement setter will be required to obtain the author's approval for any changes to this agreement.

Governing Law

This Agreement shall be interpreted and applied in accordance with the laws of Japan.
